1.3 “Website” refers to the Pocket CPA website located at PocketCPA.ca.

11.1 To the fullest extent permitted by law, Pocket CPA shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services.

11.2 Our total liability for any claim arising under these Terms shall not exceed the fees paid by you to Pocket CPA in the twelve (12) months preceding the claim.

12. Indemnification

12.1 You agree to indemnify and hold harmless Pocket CPA, its officers, employees, and affiliates from any claims, losses, damages, or expenses arising from your use of the Services, your breach of these Terms, or your violation of any third-party rights.

14. Governing Law and Dispute Resolution

14.1 These Terms are governed by the laws of Ontario, Canada without regard to its conflict of laws principles.

14.2 Any disputes arising out of or related to these Terms shall be resolved through binding arbitration in Ontario, Canada, unless otherwise agreed upon by both parties.

15. Force Majeure

15.1 Pocket CPA shall not be liable for any delay or failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, government actions, labor disputes, or network outages.

16. Severability

16.1 If any provision of these Terms is found to be unlawful, void, or unenforceable, the remaining provisions shall remain valid and enforceable.

17. Entire Agreement

17.1 These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pocket CPA and supersede all prior agreements and understandings.
